The Independent Consumer and Competition Commission (“ICCC”) wishes to inform the general public and relevant stakeholders, that it has commenced public consultations on a Clearance Application submitted by Trans Wonderland Limited (“TWL”) for its proposal to acquire 100 per cent (100%) shares in Avenell Engineering System Limited and Alfa Limited (collectively referred to as “AES” or “target companies”) including all its underlying assets which comprise its business park, a port, and camp facilities (the Proposed Acquisition).

AES or the target companies are foreign-owned businesses registered in Papua New Guinea (PNG). The core operations of AES include a port facility, a business park, and camp facilities. The AES port primarily serves as a project cargo port, handling mostly non-containerized cargo and supporting costal shipping operators.

On the other hand, TWL is incorporated in PNG as one of PNG’s largest landowner companies. TWL provides end-to-end multi-model logistics services that ensures project cargo, fuel supplies or general cargo is delivered to its destination through its fleet of heavy vehicles. TWL also has three other joint ventures (Argo Marine Ltd, PenTrans (PNG) Limited & Sarens PNG), which for each, TWL owns a 50% shareholding interest. These businesses provide services such as tug and barge operations, heavy lifting crane services, fuel distribution, freight forwarding, and aerial mapping.

According to the information supplied TWL and the current shareholders of AES have entered into a Share Purchase Agreement for TWL to acquire 100 percent of the shares in AES (Avenell Engineering System Limited & Alfa Limited) from its current shareholders.

As part of the public consultation process, the ICCC now invites submissions and comments from all stakeholders or interested individuals on any potential competition effects the Proposed Acquisition may have on any markets in PNG.

All submissions provided to the ICCC will be treated as public information unless the submitter requests confidentiality over certain part(s) of its comments or submission. All confidentiality requests will be assessed in accordance with Section 131 of the ICCC Act.
