ISLANDS PETROLEUM LIMITED PROPOSES TO ACQUIRE BULK FUEL DEPOT ASSETS OF PUMA ENERGY PNG LIMITED IN KIMBE, KAVIENG AND ALOTAU

The Independent Consumer and Competition Commission (“ICCC”) wishes to inform relevant industry stakeholders and the public that it has received a Clearance Application from Islands Petroleum Limited (“IPL” or the “Applicant”) in respect of its proposed acquisition of bulk fuel depot assets in Kimbe, Kavieng and Alotau from Puma Energy PNG Limited (“Puma”) (the “Proposed Transaction”).

IPL is a fuel and Mobil-branded lubricant distributor operating across various regions in Papua New Guinea. Its core activities include providing comprehensive fuel solutions in supplying diesel, petrol, and Mix50 products. It also provides full logistical support such as shipping and bunkering services; supplying Mobil-branded lubricants and specialty chemicals, complemented by used oil analysis services to optimise performance and equipment efficiency; and delivering engineering services, including the design and construction of fuel tank farms and service stations, as well as tanker discharge training.

Puma, on the other hand, and specifically in relation to the Proposed Transaction, supplies diesel, unleaded petrol, zoom and Jet A1 to the retail, business-to-business (B2B), and aviation sectors in Kimbe, Kavieng and Alotau. Its retail business supplies these products to three service stations in Kimbe, three service stations in Kavieng, and one service station in Alotau, as well as to a good number of B2B customers across these regions.

Clearance is a public and transparent adjudication process under the Independent Consumer and Competition Commission Act 2002 (“ICCC Act”). As part of this process, the ICCC invites stakeholders and the general public to provide their views and/or comments outlining the likely pro-competitive and anti-competitive effects of proposed transactions in the market(s) in PNG. This consultation process enables the ICCC to publicly test the applicant’s claims regarding potential competition effects.

Accordingly, the ICCC invites all stakeholders to provide their views and/ or comments on the likely pro-competitive and anti-competitive effects that may arise in any market(s) in PNG as a result of the Proposed Transaction.
